1. ACCEPTANCE OF TERMS

WELCOME TO ELLENESE.COM.

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Ellenese, its applicable operating entity, owners, administrators, authorized representatives, and the individual accessing or using the platform (“User,” “Member,” or “you”).

By registering, accessing, browsing, uploading, downloading, purchasing, subscribing, sending gifts, participating in competitions, communicating with other members, or otherwise using Ellenese.com, you agree to comply with these Terms, our Privacy Policy, and any additional rules expressly applicable to specific services.

If you do not agree, you must discontinue using the platform.

Ellenese reserves the right to enforce these Terms and take appropriate action against violations, subject to applicable law.

No member receives permanent ownership of an account, platform feature, membership privilege, or service merely by registering or making a purchase.

2. STRICT AGE REQUIREMENT — 18 AND OLDER

ELLENESE IS STRICTLY AN ADULTS-ONLY PLATFORM.

You must be at least eighteen (18) years of age to use Ellenese.

By registering, you confirm that:

• You are at least 18 years old.
• Your registration information is accurate.
• You are legally permitted to use the platform.
• You will not allow minors to access your account.
• You will not misrepresent your age or identity.
• You will comply with laws applicable to your location.

Individuals under 18 are strictly prohibited from registering, purchasing, uploading content, downloading member content, communicating with members, or participating in competitions.

Parental consent does not override this requirement.

Ellenese may request reasonable proof of age and may suspend or terminate accounts suspected or determined to belong to minors.

Age verification information will be handled in accordance with applicable privacy laws.

3. ACCOUNT REGISTRATION AND RESPONSIBILITY

Each member is responsible for the accuracy and security of their account.

Members must not:

• Create accounts using false or stolen identities.
• Impersonate another individual or organization.
• Sell, rent, transfer, or share accounts without authorization.
• Circumvent account restrictions or suspensions.
• Access another person’s account without permission.
• Create fraudulent accounts to manipulate subscriptions, rankings, gifts, or competitions.

Usernames and unique account identifiers may not be used to impersonate others or mislead members.

Ellenese may reject or require changes to usernames that are misleading, offensive, fraudulent, or infringe another party’s rights.

Members must promptly report suspected unauthorized access.

4. PLATFORM OWNERSHIP AND ADMINISTRATIVE AUTHORITY

Ellenese retains all rights to its own website design, branding, trademarks, logos, software, custom features, interfaces, platform-created graphics, and other proprietary materials.

User-generated content remains subject to Section 5.

Ellenese retains authority to operate, manage, maintain, secure, update, moderate, reorganize, and administer its services.

Subject to applicable law and contractual obligations, Ellenese may:

• Introduce new features.
• Modify existing features.
• Change website layouts and navigation.
• Add or remove membership categories.
• Change pricing for future transactions.
• Modify rewards, rankings, and promotional programs.
• Discontinue services.
• Restrict access to specific features.
• Establish additional security requirements.
• Correct errors in platform records.
• Change community policies.

No member may require Ellenese to permanently maintain a particular feature, layout, reward program, or business model.

Changes affecting existing paid rights will be handled in accordance with applicable law, purchase terms, and any required notice or remedy.

5. MEMBER CONTENT AND OWNERSHIP

Members may upload or publish photographs, videos, written posts, comments, profile information, and other permitted materials.

Members generally retain ownership of the original content they lawfully create.

By submitting content to Ellenese, members grant Ellenese a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, transcode, display, distribute within the services, and otherwise process that content as reasonably necessary to operate, provide, secure, promote, and improve Ellenese.

This license includes displaying content in feeds, profiles, galleries, and other authorized platform features, subject to the audience and privacy settings applicable to the content.

Members represent that they own or possess all necessary rights, licenses, permissions, and consents for materials they upload.

Members must not upload content that infringes copyright, violates privacy rights, contains unlawful material, or misuses another person’s likeness.

The license ends when the relevant content is deleted or the account is closed, except where continued retention or processing is reasonably necessary for lawful records, backups, security, disputes, previously authorized uses, or other legally permitted purposes.

Ellenese does not automatically become the copyright owner of member-uploaded content.

6. CONTENT DOWNLOADING — STRICT CONDITIONS

Ellenese may provide download functionality for photos, videos, and other eligible materials.

THE AVAILABILITY OF A DOWNLOAD BUTTON DOES NOT GRANT OWNERSHIP, COPYRIGHT, OR UNLIMITED REDISTRIBUTION RIGHTS.

Downloading content does not automatically authorize a member to:

1. Repost the material on another website.
2. Publish it on another social media platform.
3. Sell, license, or commercially exploit it.
4. Claim authorship or ownership.
5. Remove copyright notices or identifying marks unlawfully.
6. Distribute it through unauthorized file-sharing services.
7. Use it in advertisements without necessary permission.
8. Create misleading, defamatory, or impersonating content.
9. Share paid or restricted material with unauthorized individuals.
10. Use downloaded content to threaten, exploit, stalk, or harass anyone.

Downloads are permitted only within the rights granted by the copyright owner, applicable license, and law.

Where a member enables a download option, that setting authorizes the technical availability of downloading through Ellenese; it does not, by itself, transfer ownership or grant unrestricted commercial or redistribution rights.

Disabling downloads does not guarantee that content cannot be copied by other technical means.

Members who misuse downloaded material may face account restrictions, termination, copyright complaints, or legal action.

7. SCREENSHOTS, SCREEN RECORDINGS, AND REDISTRIBUTION

Members must not use screenshots, screen recordings, or other capture methods to evade access restrictions, unlawfully reproduce protected content, disclose confidential information, or violate another person’s rights.

In particular, members may not redistribute paid or private material to unauthorized audiences without the necessary permission or legal authorization.

Members may not publish private messages, personal contact details, financial records, identity documents, or other nonpublic personal information without a lawful basis.

These restrictions do not prohibit lawful reporting to authorities, preserving evidence, protected speech, fair use, or other legally protected conduct.

Ellenese may investigate reports of unauthorized redistribution and take appropriate action.

8. CONTENT MODERATION AND REMOVAL

Ellenese reserves the right, but does not undertake a general obligation, to review content and member activity for compliance, security, safety, and legal purposes.

Ellenese may remove, restrict, hide, or disable content that reasonably appears to:

• Violate these Terms.
• Infringe intellectual property rights.
• Constitute harassment or threats.
• Disclose private information unlawfully.
• Facilitate fraud.
• Promote unlawful conduct.
• Involve minors in prohibited material.
• Create material security risks.
• Violate applicable law.

Ellenese may act without advance warning where reasonably necessary.

Removal of content does not automatically establish that the content was unlawful.

Members remain responsible for the content they publish.

9. PROHIBITED CONTENT AND CONDUCT

The following are prohibited:

• Child sexual abuse or exploitation material.
• Nonconsensual intimate images.
• Sexual exploitation, coercion, or trafficking.
• Credible threats or targeted harassment.
• Fraud, scams, phishing, or identity theft.
• Unlawful discrimination or harassment.
• Malware, unauthorized hacking, or attempts to compromise the platform.
• Copyright infringement.
• Unlawful disclosure of personal information.
• Impersonation.
• Unauthorized commercial solicitation.
• Manipulation of payment, gift, coin, or ranking systems.
• Material violating applicable law.

Adult-only access does not authorize unlawful or nonconsensual content.

All persons appearing in intimate content must be adults, and all necessary permissions must be obtained.

Ellenese may impose additional content restrictions and verification procedures as necessary.

10. PRIVACY, PERSONAL INFORMATION, AND CONFIDENTIALITY

Members must respect the privacy of other users.

Members may not collect, publish, sell, disclose, or misuse another person’s private information without an appropriate legal basis.

Protected information may include:

• Private messages.
• Personal telephone numbers.
• Home addresses.
• Email addresses not intentionally made public.
• Financial information.
• Identity documents.
• Payment details.
• Nonpublic photographs and videos.
• Account credentials.
• Confidential personal communications.

Members may not use information obtained through Ellenese for stalking, harassment, identity theft, unsolicited marketing, or other unlawful purposes.

Ellenese’s collection, use, disclosure, retention, and protection of personal data will be governed by its Privacy Policy and applicable law.

Ellenese may disclose information when legally required or otherwise lawfully permitted, including to investigate fraud, protect users, respond to valid legal process, or address security incidents.

Ellenese does not guarantee absolute confidentiality or security of information transmitted online.

11. MEMBERSHIPS AND PAID SUBSCRIPTIONS

Ellenese may offer free accounts, paid memberships, creator subscriptions, premium access, VIP services, and other paid benefits.

Each purchase is governed by the terms and disclosures presented at checkout, including the price, billing frequency, applicable fees, and included benefits.

Members acknowledge that:

1. Paid access does not transfer ownership of the platform.
2. Access may be limited to the purchased subscription period.
3. Content availability may change.
4. A creator may remove or modify content.
5. Membership benefits may differ by plan.
6. Access may end following cancellation, expiration, or lawful termination.
7. Renewal charges must be authorized and properly disclosed.

Where a subscription automatically renews, Ellenese will disclose the renewal terms and provide cancellation procedures consistent with applicable law.

Cancellation ordinarily prevents future renewals; it does not necessarily reverse charges already properly incurred.

Material changes to paid subscription terms may require advance notice, affirmative consent, or other remedies.

12. CREATOR SUBSCRIPTIONS AND PAID PROFILES

Ellenese may permit members to offer paid access to their profiles or designated content.

Creators are responsible for the legality, ownership, accuracy, and permitted distribution of their content.

Subscribers receive only the access rights expressly offered with their purchase.

Subscribers do not obtain ownership of creator content merely by paying for access.

Creators may not:

• Advertise content they do not have the right to distribute.
• Misrepresent subscription benefits.
• Engage in fraudulent subscription activity.
• Sell access to unlawful content.
• Circumvent platform payment requirements.
• Mislead subscribers regarding pricing or availability.

Ellenese may collect disclosed platform fees, maintain transaction records, investigate disputes, and administer creator payouts.

Creator earnings are subject to applicable transaction fees, refunds, reversals, chargebacks, adjustments, and any lawful withholding requirements.

The applicable revenue-sharing percentages must be disclosed in the creator program or transaction terms. Ellenese may change future rates with appropriate notice, but will not retroactively change the agreed split on completed transactions except for lawful corrections or adjustments.

13. PURCHASES AND DIGITAL TRANSACTIONS

Purchases may include memberships, subscriptions, digital access, virtual coins, gifts, and other available services.

Before payment, members are responsible for reviewing the displayed price, description, terms, taxes, and fees.

By completing a purchase, the member authorizes the disclosed charge.

Ellenese may reject, suspend, or cancel transactions reasonably suspected of fraud, payment abuse, legal violations, or technical errors.

If a transaction is canceled after payment, any required refund will be handled according to applicable law and the payment agreement.

Ellenese does not guarantee uninterrupted access to every purchased digital feature.

Where required by law, consumers retain applicable refund, cancellation, and statutory rights.

14. VIRTUAL COINS AND WALLET BALANCES

Ellenese may offer virtual coins for eligible platform transactions.

Under the currently described Ellenese program, one (1) coin corresponds to a transaction reference value of US$0.01.

This reference value does not make coins legal tender, cryptocurrency, bank deposits, or a guaranteed cash-equivalent financial instrument.

Coins may be subject to different conditions depending on whether they are purchased, earned, received, transferred, or promotional.

Ellenese may maintain transaction records, investigate discrepancies, correct demonstrable accounting errors, and restrict suspicious transactions.

Purchased or earned balances will not be arbitrarily confiscated. Any adjustment, expiration, forfeiture, or restriction must comply with the applicable disclosed program terms and law.

Ellenese may suspend wallet transactions where reasonably necessary to investigate fraud, unauthorized access, or legal compliance.

15. COIN TRANSFERS, WITHDRAWALS, AND FEES

The Ellenese wallet program may permit eligible members to transfer coins or request withdrawals.

Under the currently described fee structure:

• Coin transfers are subject to a 10% transfer fee.
• Withdrawals are subject to a 30% withdrawal fee.
• Withdrawal requests of US$500 or more require administrative approval.

Applicable minimum withdrawal amounts, payment methods, eligibility conditions, and processing requirements must be displayed in the wallet or withdrawal interface before submission.

Members must provide accurate payout information.

Ellenese may delay a withdrawal reasonably necessary for identity verification, fraud investigation, payment reconciliation, or legal compliance.

A withdrawal request does not guarantee immediate payment.

Fees and net amounts must be disclosed before a member confirms a transaction.

Any future fee changes will apply prospectively, with appropriate notice where required.

Ellenese will not impose undisclosed fees or withhold lawfully owed amounts contrary to applicable law.

16. VIRTUAL GIFTS AND LUXURY GIFTS

Ellenese may offer standard profile gifts, premium gifts, and Luxury Gift Store purchases.

Gifts may carry designated coin values.

Before confirming a gift transaction, the sender is responsible for verifying:

• The selected recipient.
• The gift type.
• The required coin amount.
• Applicable fees.
• Any transaction conditions.

Once a gift is successfully delivered, cancellation or reversal may be restricted, except where required by law or permitted by the applicable transaction rules.

Ellenese may reverse fraudulent, duplicated, unauthorized, or technically erroneous transactions.

Gift values, categories, availability, and future pricing may change.

Ellenese does not guarantee that a recipient will acknowledge, respond to, or otherwise interact with the sender.

Sending a gift does not create any personal, romantic, contractual, or employment obligation on the recipient.

17. COMPETITIONS, BATTLES, AND TOURNAMENTS

Ellenese may operate competitions, live battles, tournaments, leaderboards, and promotional events.

Participation is subject to the event’s separately published rules.

Event rules may specify:

• Eligibility.
• Registration requirements.
• Entry fees, if applicable.
• Competition dates and times.
• Scoring procedures.
• Qualifying gifts.
• Prize values.
• Participant limits.
• Tie-breaking rules.
• Disqualification procedures.
• Cancellation and rescheduling conditions.

Members must not manipulate scores, create fraudulent accounts, exploit software errors, coordinate fake transactions, or interfere with competitions.

Ellenese may investigate suspected manipulation and disqualify participants when justified by the event rules.

Ellenese may correct demonstrable scoring errors.

Material changes to an active paid competition, including prize or entry conditions, will be handled in accordance with applicable law and the published event rules.

No entry fee, virtual currency purchase, or paid transaction guarantees winning a competition.

Competitions must be structured and operated in compliance with applicable contest, sweepstakes, gambling, and consumer protection laws.

18. POINTS, BADGES, LEVELS, AND LEADERBOARDS

Ellenese may offer monthly points, lifetime achievements, rankings, badges, levels, and other gamification features.

Unless expressly stated otherwise, these rewards are recognition features and do not represent cash, property, or guaranteed redemption rights.

Monthly rankings may reset according to the published program schedule.

Lifetime achievements may be tracked separately.

Ellenese may correct erroneous point awards, investigate manipulation, and adjust rankings when warranted.

Members may not use automated scripts, fake accounts, or fraudulent activity to accumulate rewards.

Future reward criteria and program structures may be changed with appropriate notice where required.

19. PRIVATE MESSAGES AND MEMBER COMMUNICATIONS

Members are responsible for communications sent through Ellenese.

Prohibited communications include:

• Threats.
• Harassment.
• Unlawful solicitation.
• Fraudulent payment requests.
• Unwanted disclosure of intimate material.
• Identity theft.
• Malicious links.
• Attempts to obtain passwords or financial credentials.

Members must not assume that private communications are immune from lawful investigation, security processing, or authorized platform administration.

Ellenese will handle private communications according to its Privacy Policy and applicable law.

Members should not share sensitive information unless necessary and appropriate.

20. REPORTING, COMPLAINTS, AND INVESTIGATIONS

Members may report suspected misconduct, fraud, infringement, privacy violations, and other prohibited behavior.

Ellenese may review reports, request relevant information, preserve necessary evidence, and take proportionate action.

Knowingly submitting fraudulent complaints or fabricated evidence is prohibited.

Ellenese may refer suspected criminal conduct to appropriate authorities.

Reports will be handled in accordance with applicable privacy, legal, and safety obligations.

21. COPYRIGHT COMPLAINTS AND DMCA PROCEDURES

Ellenese respects intellectual property rights.

Copyright owners or authorized representatives may submit infringement notices through Ellenese’s designated copyright contact.

Notices should identify the copyrighted work, allegedly infringing material, relevant location, contact information, required declarations, and signature.

Ellenese may remove or disable access to allegedly infringing material in accordance with applicable law.

Eligible users may submit counter-notifications through the legally established process.

Ellenese may terminate repeat infringers in appropriate circumstances.

The platform will publish its designated DMCA agent’s contact information and complete any required registration.

22. ACCOUNT SUSPENSION AND TERMINATION

Ellenese may suspend, restrict, or terminate accounts for material violations of these Terms, fraud, serious misconduct, security threats, or legal requirements.

Actions may include:

• Warning the member.
• Removing prohibited content.
• Restricting features.
• Temporarily suspending access.
• Freezing suspicious transactions during investigation.
• Revoking privileges obtained fraudulently.
• Permanently terminating an account.

Serious violations may justify immediate action without advance notice.

Termination does not automatically eliminate outstanding lawful payment obligations or refund rights.

Ellenese will handle remaining paid entitlements and wallet balances in accordance with applicable law and governing transaction terms.

23. REFUNDS, CANCELLATIONS, AND CHARGEBACKS

Refund eligibility depends on the transaction, applicable disclosures, payment-provider requirements, and governing law.

Digital content that has been accessed, downloaded, or consumed may be subject to different refund conditions where legally permitted.

Ellenese may investigate refund requests and payment disputes.

Members must not knowingly submit false chargebacks or misrepresent legitimate transactions as unauthorized.

Ellenese may suspend accounts involved in substantiated payment fraud.

Members retain all legally protected rights to dispute unauthorized charges, billing errors, undelivered services, or other valid claims.

Nothing in these Terms prevents a member from exercising statutory consumer protection rights.

24. RIGHT TO CHANGE, MODIFY, OR DISCONTINUE SERVICES

ELLENESE EXPRESSLY RESERVES THE RIGHT TO CHANGE, MODIFY, UPDATE, RESTRUCTURE, SUSPEND, REPLACE, OR DISCONTINUE ANY PART OF ITS PLATFORM, SUBJECT TO APPLICABLE LAW AND EXISTING CONTRACTUAL OBLIGATIONS.

This authority includes, without limitation:

• Website design and appearance.
• Navigation and menus.
• Membership categories.
• Subscription offerings.
• Coin and wallet functionality.
• Future transaction fees.
• Gift selections and pricing.
• Download capabilities.
• Content display systems.
• Competition formats.
• Reward programs.
• Ranking systems.
• Messaging features.
• Security controls.
• Community guidelines.
• Administrative procedures.
• Available services and features.

Ellenese may implement urgent changes without prior notice where reasonably necessary to address security, fraud, unlawful conduct, or technical emergencies.

For material changes affecting paid services or contractual rights, Ellenese will provide notice, obtain consent, or offer legally required remedies where applicable.

Continued use following valid notice and the effective date of revised Terms may constitute acceptance where legally permitted. Continued use will not substitute for affirmative consent where such consent is legally required.

25. PLATFORM AVAILABILITY AND TECHNICAL ERRORS

Ellenese does not guarantee that the website will operate continuously or without interruption.

Maintenance, hosting failures, software defects, internet outages, security incidents, or third-party disruptions may temporarily affect services.

Ellenese may perform emergency maintenance or suspend affected features when reasonably necessary.

Members are encouraged to retain lawful copies of their original content.

Ellenese does not guarantee indefinite preservation of uploaded materials.

Nothing in this section eliminates remedies required by law for failure to provide paid services.

26. THIRD-PARTY PAYMENT PROVIDERS AND SERVICES

Ellenese may use external providers for payments, hosting, authentication, communications, and other services.

Such providers may impose their own terms and privacy practices.

Members are responsible for complying with applicable provider requirements.

Ellenese is not responsible for independent third-party conduct beyond its legal obligations.

Ellenese may replace service providers or payment integrations as reasonably necessary, subject to applicable contractual and privacy requirements.

27. FRAUD PREVENTION AND PLATFORM SECURITY

Members must not attempt to interfere with Ellenese’s security, financial records, transaction systems, or administrative operations.

Prohibited actions include:

• Unauthorized system access.
• Manipulation of wallet balances.
• Forged payment confirmations.
• Exploitation of software vulnerabilities.
• Automated account abuse.
• Interference with other members’ accounts.
• Unauthorized extraction of platform data.
• Circumvention of payment controls.
• Submission of malicious code.

Ellenese may investigate suspected violations, restrict affected functionality, and preserve relevant records as legally permitted.

28. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELLENESE PROVIDES ITS SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS.

Ellenese does not warrant uninterrupted operation, universal compatibility, error-free software, or particular financial or social outcomes.

Ellenese does not guarantee creator earnings, competition victories, audience growth, or member interactions.

This disclaimer does not exclude warranties or rights that cannot legally be disclaimed.

29. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELLENESE AND ITS OPERATORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE PLATFORM, EXCEPT WHERE SUCH EXCLUSION IS PROHIBITED BY LAW.

This may include lost profits, business opportunities, or data losses to the extent legally excludable.

Nothing in these Terms excludes liability for fraud, intentional misconduct, gross negligence where exclusion is prohibited, or any other liability that cannot lawfully be limited.

Any monetary liability limitation must be interpreted consistently with mandatory consumer protection and other applicable laws.

30. MEMBER INDEMNIFICATION

To the extent permitted by law, members agree to indemnify and hold harmless Ellenese and its applicable operators against third-party claims, damages, and reasonable costs arising from the member’s unlawful conduct, infringement of third-party rights, or material breach of these Terms.

This provision does not require members to indemnify Ellenese for Ellenese’s own unlawful conduct or liability that cannot legally be shifted.

31. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflicting choice-of-law principles, except where mandatory laws of another jurisdiction apply.

Before initiating formal proceedings, members and Ellenese are encouraged to attempt good-faith resolution through the platform’s designated support contact.

Nothing in these Terms prevents a member from reporting misconduct to government authorities, exercising legally protected rights, or bringing a claim in a court or forum where jurisdiction is required by law.

No mandatory arbitration agreement or class-action waiver is imposed by this version of these Terms.

32. SEVERABILITY AND FAILURE TO ENFORCE

If a provision is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

Failure by Ellenese to enforce a particular provision on one occasion does not automatically waive its right to enforce that provision in the future.

33. CHANGES TO THESE TERMS

Ellenese may revise these Terms to reflect changes in its operations, services, technology, security requirements, or legal obligations.

The effective date will be updated when revisions are published.

Where legally required, Ellenese will notify members of material changes before they take effect.

Members are encouraged to review the Terms periodically.

Changes will not retroactively deprive members of vested contractual rights in violation of applicable law.

BY REGISTERING FOR, ACCESSING, PURCHASING THROUGH, OR USING ELLENESE.COM, YOU ACKNOWLEDGE THAT YOU HAVE HAD AN OPPORTUNITY TO REVIEW THESE TERMS AND AGREE TO BE BOUND BY THEM TO THE EXTENT PERMITTED BY APPLICABLE LAW.

YOU FURTHER ACKNOWLEDGE THAT:

• ELLENESE IS STRICTLY FOR USERS AGED 18 OR OLDER.
• YOU ARE RESPONSIBLE FOR YOUR ACCOUNT AND CONDUCT.
